of all the outstanding stock of the Company, as Pledgor,
pledging such stock to the Trustees, as Pledgees, as col-
lateral security for the Notes and the guaranty by Lessee ~

Series A tloteholder - the holder of the Series A ~
Note.
Series B Noteholders - the entities in whose names
the Series B Notes are registered on the Register.
~ Takin - A taking or voluntary conveyance during
~ the term hereof of all or part of any Property, or any
} interest therein or right accruing thereto or use thereof, `
as the result of or in lieu or in anticipation of the
exercise of the right of condemnation or eminent domain.
Trustees - The Corporate Trustee and the Individual

~ Trustee.

~ Unavoidab le Delays - Delays due to strikes, acts
~ of God, governmental restrictions, enemy action, civil
~ commotion, fire, unavoidab le casualty or other causes
~ beyond the control of the Company, provided that lack of
funds shall not be deemed a cause beyond the control of
~ the Company.

i Year - A twelve-month period, commencing on the date
of the Notes , or any anniversary date thereof, as the case
- may be.
