- (b) If Lessee shall purchase any of the Properties
pursuant to the provisions of either (a) Section 17.3~b)
of the Lease (relating to a Taking of a Property or
material damaqe to or destruction of a Property) or (b)
Article XVIII of the Lease (relating to a discontinuance
of operations on a Property), the paynent made by Lessee
to the Trustees pursuant to the Lease Assignment shall be
applied, without premium, in partial prepayment of all of
the Series B Notes, on the date of receipt thereof. Upon
receipt of such partial prepayment, the Trustees shall -
cause the affected Property to be released fror.i this In-
denture and the applicable Individual Mortgage as provided ~
in Article XXVI hereof.
(c) The amount of any in~u~a~n~epLeasedAssignr,:ents
received by the Trustees pursuan
and not required to be paid to, or upon the direction of,
Lessee pursuant to the provisions of Section 17.3(a) of
the Lease and the amount of any proceeds or awards received Q°
~ by the Trustees pursuant to the Lease Assigrunent under the
~ provisions of Section 17.3(b) of the Lease shall be applied,
~ without premium, in partial prepayment of all of the Series
; B Notes, on the date of receipt thereof.
~ Upon each partial prepayment of the Series 8 Notes, pursuant
~ to clause (b) or clause (c), of this Section 2.2, the aggregate
amount prepaid shall be allocated to the Series B Notes in pro-
~ ~ portion, as nearly as practicable, to the respective original
~ principal amounts thereof, with adjustr.ients, to the extent
~ practicable, to compensate for any.prior prepayments not
~ made exactly in such proportion. In making such allocation,
~ all partial assignments of a Series B Note, together with the
retained interest therein,shall, in the aggregate, be deemed
~
to be in the principal amount of the original Series B Note.
~ Each partial prepayment of the Series B Notes pursuant to
~ clause (b) or clause (c) shall be applied toward the payment
~ of the quarter-annual installments of principal due thereon, t
in the inverse orders of their due dates. - i

2.3. Registration, Assignment of Notes. ~
