Pay or cause Lessee to pay all Impositions whi~e the same may be paid without fine, penalty, interest or additional cost, unless the same shall be contested in good faith and by appropriate proceedings by either the Company or Lessee in the manner permitted by Article XV of the Lease. In ~ addition, the Company will pay or cause Lessee to pay all utility charges as required by Article XI thereof. The Company will furnish or cause Lessee to furnish to the Trustees and the Beneficiaries upon request, official receipts or other satisfactory proof evidencing such payments. The Company shall not be entitled to any credit on the Notes or any other sums which may become payable under the terins thereof or hereof, by reason of the payment ; of any Imposition or utility charges or any part thereof. s (d) Compliance with Legal and Insurance Require- ~ ments, Instruments, etc. Promptly (i) comply or cause Lessee t promptly to comply with all Legal Requirements and Insurance ~ Requirements unless the same shall be contested in good faith ~ and by appropriate proceedings by either the Company or Lessee ~ in the manner permitted by Article XV of the Lease; and (ii) ~ procure, maintain and comply with, or Gause Lessee promptly ~ to procure, maintain and comply with, all licenses or other authorizations required for any use of the Properties then ~ being made, and for the proper erection, installation, opera- tion and maintenance of the Improvements and Fixtures or any ~ ; part thereof. ` ~ ~ (e) Insurance. Maintain or cause Lessee to main- ~ tain insurance of the types and in the amounts required by, ~ and otherwise complying with Article XVI of the Lease and - deliver or cause to be delivered to the Trustees, with ~ copies to each of the Beneficiaries (i) on the date hereof, certificates for such insurance and (ii) not less than 10 - days before the expiration of any such insurance, certifi- = cates evidencing the replacement or renewal thereof. (f) Damage, Destruction or Taking.
