(h) Loans. Make any advance or loan to, or
invest in or purchase any security of, or assume, guarantee, ~
purchase or otherwise become directly or indirectly liable
upon the obligation of, any person, partnership, corporation
association or other legal entity, or make any commitment
so to do.
(i) Dividends, Officers' Com ensation, etc.
Declare or pay any ividends on any shares of its capital
stock or make any other distribution on, or any purchase,
redemption or other acquisition of, any shares of its ~
capital stock; or pay any wages or salaries or other :
compensation to officers, directors, employees or others ~
except out of net earnings. ~
The Trustees shall not give any consent hereunder without the ~
prior approval of two-thirds in interest of the I3eneficiaries. ~

= 7. Events of Default. If anp one or more of the
~ following events (individually an "Event of Default") shall
~ occur: -
~
~ (a) non-payment, when due, of any interest ;
~ payment or of any installment of combined principal . '
and interes t on any of the Notes continued unremedied ~
~ for a period of five (5) days after notice thereof
~ ~
~ from any Noteholder to-the Company; or . ~ ~
~ ~
(b) failure of the Company to keep in full force ~
~ and effect its corporate existence, rights and franchises; ;
~
~ or ~
(c) default by the Company in the due observance ~
~
or performance of any term, covenant or condition on its ~
- part to be performed under any of the Company Documents
" (other than a default under subsection (a) or subsection
(b) above), continued unremedied for a period of thirty
" (30) days after notice thereof from or on behalf of the
~ Trustees or any of the Beneficiaries to the Company, except j
that if any such default cannot with due diligence be cured
within a period of thirty (30) days, such clefault shall not
be deemed to continue if the Company proceeds promptly and
X`~~ with all due diligence to cure the default and diligently
completes the curing thereof; or
. (d) if any of the representations or warranties
