may, in the absence of bad faith on their part, rely upon
an Officer's Certificate delivered to them. ,

18.3. The recitals contained herein and in the '
other Company Documents shall be taken as the statements of
the Company, and the Trustees assume no responsibility for
the correctness of the same. The Trustees make no represen- ~
tations as to the validity or sufficiency of the Company Docu- ;
ments or the Pledge Agreement and shall not be accountable E
far the use or application by the Company of the proceeds of ~
the Notes, or for the use or application of any moneys paid
over by the Trustees in accordance with any provision of this
Indenture. -
1g.4. - Any moneys received by the Trustees shall,
uritil used or applied as herein provided, be held in trust
for the purposes for which they were received, but need not
E be segregated from other funds except to the extent required
! by law . -
~ 18.5. The Company covenants and agrees:
x (a) to pay to the Trustees from time to tir.ie
~ reasonable compensation for all services rendered by the
~ Trustees hereunder (which compensation shall not be lir,~ited
~ by any provision of law in regard to the compensation of
~ a trustee of an express trust);

~ (b) to reimburse the- Trustees upon request for
all reasonable expenses, disbursements and advances incurred
or made by the Trustees or their agents in accordance with i
any provision of this Indenture or any of the Individual ~
~ Mortgages (including, without limitation, the reasonable ~
compensation and the expenses and disbursements of counsel
~ and such other expenses and disbursem.ents as may be ~
incurred or made in the enforcement of any rer~dies here- ;
~ under), excepting only any such expense, disbursement or =
~4' advance as may arise from their negligence or bad faith; ~
and

(c) to indemnify the Trustees~for, and to
hold them harmless against, any loss, liability or expense
incurred without negligence or bad faith on their part,
- arising out of or in connection with the acceptance cr ;
a~ administration of this trust, including, without lir.iita-
tion, the costs and expenses of defending themselves
