(c) ~ao-thirds in interest of the Beneficiaries
may at any time remove either of the Trustees and appoint a
successor trustee by delivery to the trustee so removed,
the successor trustee, the Company and the other Beneficiaries
of an instrument in writing signed by such Beneficiaries.
(d) Any resignation or removal of the Trustees "
ar~d appointment of a successor trustee pursuant to any of ~
the provisions of this Section shall become effective upon ~
acceptance of appointment by the successor trustee as ;
provided in Section 18.9. j
lg.g. (a) Any successor trustee appointed as provided
; in Section 18.8 shall execute, acknowledge and deliver to the
~ Company, to its predecessor trustee and to the Beneficiaries,
~ an instrument accepting such appointment hereunder, and there-
~ upon the resignation or removal of the predecessor trustee shall
become effective and such successor trustee, without any further
; act, deed or conveyance, shall become fully vested with all the
g rights, powers, duties and obligations of its predecessor hereuncer,
~ with like effect as if originally named as trustee herein. The
~ predecessor trustee shall, at the written request of the successo~ :
~ trustee, pay over to the successor trustee all moneys at the ~
u
~ time held by it hereunder; and the Company and the predecessor
~f trustee shall execute and deliver such instruments and do such #
~ other things as may reasonably be required for more fully and ~
~ certainly vesting and confirming in the successor trustee all ~
such rights, powers, duties and obligations. ~

~ (b) No successor trustee to the Carporate Trustee
~ shall accept appointment as provided in this Section unless at ;
the time of such acceptance such~succpssor trustee shall be `
~ eligible under the provisions of Section 18.6.

(c) Upon acceptance of appointment by a successor
trustee as provided in this Section, the Cor~pany shall mail a
- notice of the succession of such trustpe hereunder to all of
f,t the Beneficiaries, with a copy to the successor trustee. If
_ the Company fails to r.iail such notice within ten (10) days
after acceptance of appointment by the successor trustee,
- the successor trustee shall cause such notice to be mailed -
~ at the expense of the Company.
