ASSIGI~IENT OF LEASE
TEXLAND PROPERTIES CORP. ("Assignor"), a Delaware
corporation, having an office c/o The Southland Corporation,
2828 North Haskell Avenue, Dallas, Texas 75221, fc,r valuable _
consideration, the receipt of which is hereby acknowledged, ;
hereby assigns, transfers and sets over to THE NATIONAL SHIIWMUT ~
BANK OF BOSTON ("Corporate Assignee"), a national banking ~
corporation, having its principal office at 40 Water Street, ,
Boston~, Massachusetts 02106 , and W. B. WADLp?N~ ("Individual ;
Assignee") havinq an office at 40 Water Street, Boston, ~
Massachusetts 02106, as trustees (collectively, the
"I~ssignees , for the ratable benefit of FIRST NATIONAL ~

INSURANCE COMPANY, LIBERTY LIFE ASSURANCE C02dPANY GF -
BOSTON, THE NATIONAL L2FE AND ACCIDb'NT INSUI2ANCE COriPANY,

COMPANY (collectively, the °Purchasers"), their successors
~ and assigns, as holders of the Notes hereinafter mentioned
~ (the Bank and the Purchasers being collectively referred to
~ as the "Beneficiaries"), all of Assignor~s right, title and
~ interest in and to a certain Lease tas the same may from time
to time be supplemented or amended, the "Lease"), dated as ~
~ of the date hereof, between Assignor, as lessor, and THE ~
~ SOUTHLAND CORPORATION ("Lessee"), a Texas corporation, as lessee,
~ covering various retail store propertie~ (collectively, the
"Leased Properties" and individually a"Leased Property"),
~ more particularly described in Schedule A, including but not
~ limited to:

~ (a) all payments due and to become due under
~ :
~ the Lease, whether as rent, damages, purchase price, #
~ insurance payments, condemnation awards or otherwise;

(b) all claims, rights, powers, privileges
and remedies of the lessor under the Lease; and
(c) all rights of the lessor under the
- I,ease to exercise afly election (including, without
limitation, the election of remedies) or option, to
~~'Y give or receive any notice, consent, waiver or
approval, to accept or reject an offer to purcr.ase
any of the Leased Properties or to accept any surrender
