of either (i) Section 17.3(b) of the Lease (relating to ~
a Taking of, or material damage or destruction to, a ;
Leased Property) or (ii) Article XVIII of the Lease $
trelating to a discontinuance of operations on a Leased
Property) shall be paid to Assignees and applied to
the prepayment of the Series B Notes, as provic~ed in
Section 2.2 (b) of the Indenture;
(e) the amount of any insurance proceeds or
awards held by Assignees and not required to be paid to,
or upon the direction of, Lessee pursuant to the
provisions of Sect~on 17.3(a) or Section 17.3(b) ;
of the Lease shall be applied to the prepayment of the ~
Series B Notes, as provided in Section 2.2(c) of the '
Indenture; and

(f) all other mr~neys covered by this Assign-
ment (including any excess of an installment of Basic
~ rent over the concurrent aggregate payments due on the
; Notes) shall be remitted to the persons then entitled ;

~ If an Event of Default shall have_occurred under ;
~ the Indenture, all moneys covered by this Assignment shall
~ be paid to Assignees who shall hoZd all moneys received
~ and shall apply the same in the manner specified in Article
~ XVI of the Indenture.

~ Neither this Assignment nor any action or inaction
~ on the part of Assignees or any of the Beneficiaries shall,
~ without their written consent, constitute an assumption on
~ their part of any obligation under the Lease; nor shall
~ Assignees or any of the Beneficiaries have any obligation to
~ make any payment to be made by Assignor under the Lease, or
to present or file any claim, or to take any other action to
oollect or enforce the payment of any amounts which have
a:- been assigned to Assignees or to which they may be entitled
~ hereunder at any time or times. No action or inaction on
~ the part of Assignees or any of the Beneficiaries shall ad-
~ versely affect or limit in any way the rights of Assignees
or any of the Beneficiaries hereunder or under the Lease.
Assignor shall have no right whatsoever to take ~ ~
any action under the Lease without the written consent of
Assignees or two-thirds in interest of the Beneficiaries,
