signing and transfening all estate, right, dde and interest in and to the
property and right~ sold subjec:t to all matters which would affect tide to
the property and rights sold. 4iortgagee is hereby appointed the true
and lawful attorney irrevocable of the Mortgagor, in its name and stead,
to make all necessary• convey ances, assignments, transfers and deliveries
of the ~iortgaged Property and rights so sold and for that purpose the
~lortgagee may execute all necessary instruments of conve~ ance, as-
signment and transfer, and may substitute one or more persons with
like po~ver, the Mortg~gor hereby ratifying and confirming all that its
said attorney or such substitute or substitutes shall lawfully do by ~~irtue
~ hereof. Nevertheless, the :~Iortgagor, if so requested by the Mortga~ee, shall
; ratify and confirm any such sale or sales by executing and delivering to
; the Mortgagee or to such purchaser or purchasers all such instruments
i as may be ad~~isable, in the judgment of the ~tortgage~, for the purpose,
4 and as may be designated in such request. Any such sale or sales made
~ under or by virtue of this Article 7, ~vhetl:er made under the power of sale
~ herein granted or under or by virtue of judicial proceedings or of a jud~
~ ment or decree of foreclosure and sale, shall operate to divest all the estate,
~ right, title, interest, claim and demand ~Yhatscever at la~v or in equity, of
~ the Alortgagor in and to the properdes and rights so sold, and shall be a
~
~ perpetual bar both at law and in equity against the ~tortgagor and against
~ any and all persons claiming or ~cho ma_y claim the same, or any part there-
of from, through or under the 1lfortgagor, to the maximum extent permitted
~
~ by the la~v of the state in ~vhich the 11'[ortgaged Property is located.
~ 7.1.5 RECEivEx. Apply to the court in ~vhich a proceeding is pending
~ for the enforcement of this rlortgage to have a receiver appointed to enter
~ upon and take possession of the A~Iortgaged Property, collect the Rents and ;
profits therefrom and apply the same as the court may direct, such receiver !
to ha~~e all of the rights and powers permitted under the la~vs of the state
_ in ~vhich the ~iortgaged Property is situated. The right to the appointment
of such receiver shall be a matter of strict right without regard to the value
~ or the occupancy of the :~Iortgaged Property or the solvency or insolvency
of hlortgagor. The expenses, including receiver's fee, counsel's fees, costs
- and agent's compensation incurred pursuant to the po~vers herein con-
tained shall be secured hereby.
