option of sucl~ successor in interest any Lease not approved by Mortgagee,
or (u) any payment of rent or addidonal rent for more than two months
in advance, or (ui) any amendment or modification of the Lease made
without the consent af the Mortgagee. Each Lease shall also provide that,
upon request by said successor in interest such lessee shall execute and
deliver to Mortgagee an instrument or instruments confirming such at-
tornment.

13.2 NON-DISTURBANCS AND ATTORNMENT BY MOBTGAGEE AND i

(a) Subject to the conditions specified in subparagraph (b) of this
E pazagraph 13.2, Mortgagee will, upon request of Mortgagor, execute non-
? disturbance and attornment agreements with approved lessees of the
~ . Mortgaged Property ~ under Leases approved by Mortgagee which shall
~ provide that in the event Mortgagee or any purchaser at foreclosure shall
: succeed to the h4ortgagor's interest in the b~:ortgaged Property, the Leases
~ of such lessees will remain in full force and effect and be bincling upon
s Mortgagee or such purchaser and such lessee as of the date Mortgagee or
~ any purchaser at foreclosure shall succeed to the Mortgagor's interest in
~ the Mortgaged Property, provided, however, that~Mortgagee or such pur-
chaser shall not be liable to such lesse~s to perform the obligadons of
hiortgagor under such Leases arising prior to the time Mortgagee or such
~ ' purchaser succeeds to Mortgagor's interest in the Mortgaged Property,
~ and further provided that such non-disturbance and attornment agree-
~ ments may be terminated by Mortgagee or such purchaser at Mortgagee's
~ or such purchaser's sole option, if any lessee shall become in defaulc under ;
~ its Lease.
~ ( b) The Mortgagee's obligation to execute the non-disturbance and ;
attornment agreements provided for in subpazagraph (a) of this pazagraph
~
13.2 shall be subject to conditions as follows: (i) the credit of the lessee
and the terms of the Lease shall be satisfactory to Mortgagee, (ii) the ~
Mortgagee shall receive a letter, signed by the Mortgagor and addressed
to the lessee, to be forwarded to the lessee by the Mortgagee giving notice
of the assignment of each Lease provided for herein and (iu) be approved
by any lender to wluch this Mortgage is to be assigned of the execution of _
