Circuit Court of the Fifteenth Judicial Circuit, in and for Palm Beach -
~ County, Florida, on May 24, 1974, by Marcona Sales, Inc.., a Nevada
' corporation, against the above named defendant, involving that certain

~ real property located and situate in St. Lucie County, Florida, described

on Exhibit A attached hereto and by reference made a part hereof. ~

The relief sought in and by the aforesaid suit is a declaratory
judgment that the plaintiff, lessee of said described property described
on Exhibit A, under a certain lease dated February 28, 1967, between ~
~ said defendant, Fort Pierce Port & Terminal Company, as lessor, and
~ Union Carbide Corporation, as lessee, validly exercised its option to

~ renew said lease for a term of five (5) years, beginning June 1, 1974,
~ as well as for specific performance of certain covenants of the Iessor
