I.essee veill upon default at request of l~es.qor as~mble the Equipment and make the Equipment avaitable to the l.es.9or, in whole or in part as r~~yuested, at such place ur places designated by the I.es.yor as are c~easonably convenient to both I.essee and I.essor. To the extent not forL+idden by :;t~.~ . I.essor may, but shalt not be required to. sell the Equipment at private or public sale, in bulk or in parcels, vvith or wZthout notioe. without tu~ving e t he F.c{uipment present at the plaoe of sale, and is~sor may bid and pucchase: or L~ssor may, but shall not be requireti to. tease orotherwisedisp~se o i ur p~rt ot the Equipment. The proceeds of sale. lease or other disposition, it any, shall first be applied to all costs and charges and e:pei~ses ~~:curred in takir,g, removing. holding. repainng and selling, lcasing or otherwise d~.sposing of the F.qwpment; then, to pay all xums remaining ,:npaid hereon w hich shall include the unpaid rents for the Lalance ot the term o[ th~.s le~e. Lessee agrees to pay any deficiency forthwith. Interest ;ifter acceleration shall be at the rate of I 130th of 1~ per day but not tc eaceed the maximum lawful rate. AU remedies herein are cumulative and any r all thereoi may be exercised in lieu ofor in addition to, any iemedies at law. in equity, or under stat ute. The I.essor. hovve~er, shall not be liable for any failure due to cau.~es tk~~•ond its reasonahle oc~ntrol, such acts of Caod. acts o[ civit or military auttx~rity. prionties, fires, strikes. tloods. epidemics, quarantine ;.~~:rictions, war, riot. delays in transportation, car shortages. and inability due to cau.ses beyond its reasonable control W obtain necf.~ssary latwr• :~;aterials, or manufacturing facilities: nor shall tt~e I.essor in any event be liable for consequential or special damages. I n case of isilure of Les.see to c~omply w-ith any provision of this lease. I~essor she~l~ have the right. but shall not be obligated, to etfect such oo~npliance i n~•hole or in part and all mone~ s spent by. and expenses of. I.essor shali be paid by [.essee forthwith and shall bear interest at the rate of i/30th of 1'ir ~ r day but not to exoeed the maximum lawful rate if noi so paid- I.essor's effecting such compliance shatl not ~e a waiver of the Lessee's default. Any aiterations or modifications with respect to ihe Equipment th. t may at any time during the initial term of this lease. or anY renewal term, be requ~red to compiy with any applicable law or ~ny g~overnmental rule or regulatwr. shall be at the expen~e of the Lessee. F~ Che l.eseor, to indicale its title to tDe Fqii~ment, may label any and ali items of Equipment and keep same label aff"ixed in a promi~tient place. i,essee shall not remove labels during the term of this lea.~e. ~2 Any provision herein contained which may be invalid ur.der applicable taw, or any governmental rule or reguiation shall be deemed omitted.
