CERTIFICATE OF LIMITED PARTVERSHIP

THE UNDERSIG:TF.~, desiring to form a Limited
Partnership pursuant to the Florida.Uniform Limited Part-
nership Law (Chapter 620, Florida Statutes), and beinq
duly sworn, do certify as follows:.
1. NAME. The name of the Partnership shall be
FORT PIERCE INVESTORS, LTD. but the Partnership may be ~
operated under such trade names as the General Partner
may from time to time determine.
2. PURPOSE. The purpose of the Partnership shall be
to ac~uire and hold for investment that certain real pro-
perty located in St. Lucie, Florida, more particularly
described in Exhibit A attached hereto ar:d made a part
hereof . •
3. PLACE OF BUSINESS. The principal place of busi- '

to time determine and designate; provided, however, that if

4. TER~'~l OF PARTNERSHIP. lhe Partnership shall begin
business upon the issuance of a Certificate of Authorization
issued by the Secretary of State pursuant to'Section 620.02
of the Florida Statutes and the Partnership shall exist for
a period of twenty (20) years thereafter, unless sooner
terminated as hereinafter provided.
