8.4 No Limited Partner shall have the right to i

8.5 No Limited Partner shall have priority over
other Limited Partners as to contributions, distributions or
as to compensation by way of income except as is otherwise
specifica~ly provided herein.
9. COMPEySATION OF PARTNE:tS. None of the Partners,_
General or Limited, shall receive any salary, drawinq or
compensation for any services to the Partnership in his
capacity as a Partner; however, this provision shall not
prevent any of the Partners, General or Limited, from dealing
with the Partnership and receiving payment for services or
materials furnished, provided said compensation is fair and
reasonable in amount, and the General Partner may employ and
pay any Limited Partner or General Partner (or any corpora-
ti~n or Partnership in which any such Partner is interested)
for services rendered or to be rendered as broker, managinq
agent, attorney or accountant for the Partnership, provided
i thP payment is fair and reasonable in ainount and, in the case
~ of a brokerage or managing agency, the payment is not more ~
than those normally paid for such services in the area where
the property is located.
10_ ASSIGi~1ABILITY OF LIMITED PARTNERSHIP ZNTEREST. s

10.1 Any Limited Partner shall have the right to
assian his interest in the Partnershio upon thirty (30) days
written notice delivered to the General Partners at *_he
