a 1096 interest in the business for his $25,000.00. During said five
- year perioc3 Bacereton would be paid a salary for his services but
would r~ot share in any profits or losses of the business and he would
be able to withdraw his $25,000.00 at any time upon demand.
Perona and Brereton are both from Illinois and had known
each other for several years. In 1970 Perona was a partner in a _
new car dealership in Cold City, Illinois. While on vacation in
Florida, visiting friends, he became aware of the fact that Tague
Oldsmobile in Fort Pierce was for sale. Accompanied by Mr. Guizzetti
he came to Fort Pierce and made a preliminary investigation. He thLn
returned to ~old City to complete arrangements for the sale of his
interest in the new car dealership in Cold City. At this time he was
contacted by Brereton, who was between jobs and looking for a new
position. On several occasions in the past Brereton had been emgloyed
by Perona in the cagacity of sale managers. There was some discussion
about Brereton coming to Fort pierce with Perona as his general manager

and his family drove to Florida and had some contact with Mr. Tague.
The Breretons were soon thereafter joined by the Peronas and both
families stay~d at the Holiday Inn in Fort Pierce. It was at this time, .
according to Brereton, that he and Perona agreed to be partners, however,
the terms of the partnership had not been finalized.
Back in Cold City: ~r. ar abou~ SeptembEs 12, 197~J, a meeti~g
was held between Ferona and Brereton to work out the final terms of
t:; their agreement. Present at this meeting, at least part of the time,
~ in addition to Perona and Brereton, were R. James Smith, Perona's brother-

in-law and partner in Cold City, and James R. Fleming, Esq., Perona's
attorne~r. There is a direct conflict in testimony between Per~na and
Brereton as to the terms of their final agree~ent; the testimony of
Smith and Fleming supports Perona.
