Inc., a dissolved Florida CQrporation, at the time ot its
dissolution aand as such as Trustees of the property of such
dissolved corporation for the benefit of the stockholders, and
by ROBERT L. WAGNER, Individually, Parties of the First Part,

and KAY TWO GROVE, LTD., a limited partnership, whose address
is Post Office Box 1120, Fort Pierce, Florida 33450, Party of
the Second Part;

Taat the said Parties of the First Part, for and in con-
sideration of the sum of $10.00 and other valuable considerations,
