AGREEMENT ~
THIS AGREEMENT made this ~v day of <<.~<~_• 1974.

by and between EGAN . FICKETT & COMPANY , a Delaware Corporation , authorized
to do business in the State of Florida, herein called EGAN, FICKETT. and _
FLORIDA NATIONAL BANK AT TITUSVILLE. herein called BANK,
V?'ITNESSETH: ~

THAT . WHEREAS , EGAN , FICKETT has requested the BANK to '
make to it a loan in the amount of ONE r4ILLION AND NO/100 DOLLARS
($1,000.000.00), with which to purcha~e certain real and personal property
from ~Tevins Fruit Company , Inc at~d
WHEREAS, the BANK has agreed to make such a loan subject to s
~
certain terms and conditions , and for the purpose of setting out some of those
_
terms and conditions , this Agreement is executed .
NOW. THEREFORE, in consideration of the BANK making the
aforesaid loan to EGAN . FICKETT , as well as other valuable consideration ~
received by each party from the other, receipt whereof is hereby acknowledged,
the parties hereto agree as follows:
Ij 1. EGAN , FICKETT warrants to the Bank that it is acquiring
seventy-five per cent (75$) of the outstanding shares of capital stock of Nevins
Ideal. Inc., a Flarida Corporation, and that it will cause said Corporation to be
dissolved and its assets distributed to the stockholders v~?ithin one (1) year from t
date of this Agreement . T:ie BAIvK is hereby granted a lien and security interest

by EGAN . FICKETT upon all of the assets of Nevins Ideal , Inc . which EGAN
~ FICKETT is entitled to receive as a stockholder or otherwise upon dissolution ~

of said Corporation. At that time, EGAN, FICKETT will execute and deliver to
the BANK such dc~cuments as the BANK may require as evidence of its lien upon
~
~ said assets. Such instruments shatl include a mortgage upon EGAN, FICKETT's
~ interest in the real property of Nevins Ideal , Inc described as follows:
