l. That a joint meeting of the Board of Directors of
said corporation and all~ the members of said corpo~ation was held
on August 29, 1974, and at said meeting, at which 100$ of the mem-
bers of the cornoration were present, the Board of Directors and
members unanimously adopted the following resolution: _
RESOLVED, ARTICLE XII, of the Articles of Incorporation
is amended to read as follows:
ARTICLE XII
Amendments
1. These Articles of Incorporation may be ame~ded at rn~ ~

Limited Partnership has elected to terminate its control
~ of the corporation, whichever shall first occur, these
Articles of Incorparation may be amended by the vote of
a majority of the Board of Directors without membership
approval, and no amendment made prior to said date nursu-
ant to Sections ? and 2 above shall be effective without
the consent of the Board of Directors.
4. No ar?endment shall b~ passed which shall im.pair or
p~ejudice tne rignts and priorities of any ;nortgages.
No ar.:endment shall change the provisions of these articles
with respect to the institutional mortgagees witnout the
written approval of all institut~onal nortgagees of record.
