HomeMy WebLinkAbout0700 Section 7. Regular meetinqs of the Board of Directora may be held at such time and place as shall be determined from ~ time to time by a majority of the Board of Direators. Notice of regular meetings of the eoard of Directors shall be qiven to each Director, person~lly or by mail, telephone or teleqraph, at least five (5) days prior to the day naimed for such meeting. The Directore ma~y establish a schedule of regular meetinqs to be held in the office of the corporation and no notice ahall be required to be ser~t to said Diractore and said rsqular meetinqs, once eaid schedule has been adopted and published. Section 8. Special meetinqs of the Hoard of Directors may be c$lled by the President on f ive ~5) days' notice to each Director, qiven personal.ly or by mail, talephone or telegraph, which notice shall state the time, place and purpose o~ the meeting. Special meetinqs~of the Board of Directore.shall be called by the President or Secretary in like manner and on like notice on the written request of the majority of the 8oard of Directors. - Section 9. Before, at, or after any meeting of the Board of Directors, said Directors may, in writing, waive notice of said meetinq and such waiver shall be deemed equivalent to the ~ivinq of such notice. Attendance by a Director at any meeting of the Board shall be a waiver of notice by him of the t3m~_and place thereof. If all the Directors are present at any meeting of the Board, no notice shall be requ3red and any business may be transacted at such meeting. Section 10. At all meetings of the Board of Directors, a majority of the Board of.Directors ehall constitute a guorum for transaction of business, and the acts of the majority of~the Directors present at a meetinq at which a auorum is preaent shall be the acts of the Board of Directors. If, at any meeting of the Board of Directors, there be less tha~ a quorum present, the majority of those present shall be able to adjourn the meeting from time to time. At any such adjourned meeting, any business which might_have been transacted at the meeting as oriqinally called may be transacted without further notice. The President of the Corporation shall act as Chairman of the Board of Directors and he shall be entitled to vote as a member of the~Board of Directors on all questions arising before the Board of Directors. 'i Section 11. The Board of Directore shall have all the ! powers vested under common law and pursuant to the provisions of ' Chapter 617, Florida Statutes, together with any powers granted to it pursuant to the terms of the Articles of Incorporation of the corporation and any plats, conveyances, delcarations of condo- minium, and/or declarations of covenants and restrictions f iled by Hutchinson Island Limited Partnership, its agente, successors or assigns. Such powers shall include but not be 13mited to the following: _ a. Management and operation of Ocean Village Property Owners' Association, Inc., and its interests. b. To make and collect assessments from members for the purpoae of operating and maintaining the corporation property and interests. c. The maintenance, improvement, repair and replacement of the corporation'e property and interests. d. The reconstruction of property after any casualty and the further improvement of the property. e. The hiring and dismissal of any necessary personnel ~ to maintain and operate the corporation property and its interests. ~ f. Power to make and amend requlations respecting the ~ use of the property of the corporation. ~ g.
