A. Number. This Association ahall initially have
three (3) directors. The first b~ard of dirdctors elected
by the members of the Association shall conaist of seven
(7) directors wl:o shall be members of the Association.
B. Election and Term. Directors shall be chosen at
the annual meetinq of the members by a plurality of votes
cast and shall serve until the next annual meeting of ~
members or until the election of their successors. Except
as to vacancies created by removal of a director by members
of the Association, vacancies in the board of directors
occurrinq between annual meetinqs of inembers shall be filled
by the remaining directors. Any director, other than a
member of the initial board of directors, may be removed,
with or without cause, by concurrence of fifty-one percent
(51$) of the votes of the entire membership at a special
meetinq of the members called for that purpose.
C. Annual Meeting. The directors shall hold a
; meeting immediately follawing the annual meeting of the

D. Regular Meetings. Regular meetings of the board
of directors may be held at such time and place as shall be
determined fran time to time by a majority of the directors.'
Notice of regular meetings shall be given to each director,
personally or by mail, telephone, or telegraph, at least
three (3) days prior to such meeting.
E. Special Meetings. Special meetings of the
~ directors may be called by the President and must be called _
~ by the Secretary at the written request of~a majority of the
~
directors. Notice of special meetings shall be given to
