or Declaration, and where a conflict in meaning shall exist,
the Declaration shall control.
2. $mplayment. The Association hereby employs
Manaqer, and Manaqer hereby accepts such employment, as
exclusive manaqing agent of the condominium on the terms
and conditions hereinafter provided. Manaqer aqrees to per-
foria on behalf and at the expense of the Association all
services neoessary for the care, protection, maintenance,
and operation of the vondominium. Manager's powers and duties
hereunder shall include but not be limited to the following:
(a) Ea~loyees. Select, employ, promote, discharqe
and supervise such employees as Manager i~n

quired for operation and maintenance of the
candominium. All such employees shall be employed
either in the name of the Association or in the
name of Manager as Manager in its sole`discretion

! (b) Purchases and rentals. Purchase and rent such

~ equipment, tools, vehicles, appliances, goods,
~ supplies and materials as shall be reasonably

necessary to perform Manager's duties, in- ,
cluding the maintenance, up-keep, repair, re-
placement, refurbishing and preservation of the
conmon elements of the condominium. Purchases may
be made either in the name of the Association or
Manager.. Manager shall make a reasonable effort

~ to obtain the best price available, all factors
~ considered, and shall disclose to the Association
all discounts, commissions and rebates.
