That in this Capacity and Office he has the responsibility of recording and
maintaining the records of all meetings of The Board of Trustees of CITIZENS AND
SOUTHERN REALTY INYESTORS.
That the follorving_resolution was, upon motion duly made and seconded, unanimously
adopted at the regular meeting of The Board of Trustees of CITIZENS AND SOUTHERN
REALTY INVESTORS on August 16, 1973 and is spread upon the Minutes of such meeting:
BE IT RESOLVED, that any officer of Citizens and South~rn Realty
Investors (the "Trust"~ be and he is hereby authorized and empowered
to execute in the name of and on behalf of the Trust, notes, deeds,.
leases, contracts, a reements, conveyances, or an other instrument
or document t~iat
maY e eemed necessary and prnper or the con uct
of the usiness of the Trust inciuding, without limitation on the
foregoing, the execution of documents to
(1) Cancel, satisfy contracts, security agreements, mortgages, and .
deeds of trust; .
(2) Surrender notes, bonds or other evidences of indebtedness and accept
payments thereof;
(3) Sell, assign, transfer and convey stocks, bonds, real estate,
evidences af indebtedness or any interest therein, participations
and all other securities corporate or otherwise, including rights
and options to acquire or sell the same, and request payment or
reissue of any and all United States securities of any descriptior?
registered on the books of the Treasury Department or registered
securities with respect to which th~ Treasury Department acts
as transfer agent; all as may be now or hereafter held by the
Trust in any capacity; • _
` (4) Make or give any declaration, affidavit, certification, oath or
; other statement required or requested by any other party to any
; business transaction by the 7rust, or required, permitted or made
i necessary by any statute, rule, regulation or order including
but not limited to the provisions of the "Shipping Act, 1916";
Provided, however, that whenever there be a conveyance of real property or -
an.interest in real property or any transfer agent or redemption agent or
~ other person for the~purposes of transfer or redemption shall re
~uire_ ~
attestatton then such instrument shall be attested by any
ot~er officer
of the Trust who shall affix the seal of the Trust.
~ RESOLVED FURTHER, that the Secretary or the Assistant Secretary of the •
Trust is authorized to certify as to the signature and authority of officers •
authorized hereunder to execute any document or instrument on behalf of -
the Trust.

may affix his name to any such certification, and all persons to whom ~
~ such certifications are furnished, may act thereon. ~
