that we are the President and Secretary , respectively , of FLOYD J. VOIGHT ,
INC and that the ~vithin and foregoing Agreement of ll~lerger, having been duly
executed by the officers and Directors of FLOYD J. VOIGHT, INC. . was submitted ~
to the stockholders of that corporation at a meeting called specifically for the
purpose of voting upon said mErger, of which meeting notice of the time, place
and object was duly given in accordance with the terms of the By-Laws of said
corporation , and that all of the stockholders . being the owners of all of the outstand-
ing stock of the corporation, consisting of one hundred (100) shares, v~~ere present
at said meeting and on vote, did unanimously vote said one hundred (100) shares ~
to approve the merger on the terms and conditions set forth in the Agreement
of 14lerger.
