~ ~4HEREAS by a Trust Indenture made as of the 15th day of -

Apri1,~1963 (hereinafter called the "Principal Indenture") made
between the parties hereto, and recorded~in Book 891, page 834, of
the Official Records of Palm Beach~County, Florida, and in Book 115,
page 376, of the Official Records of Martin County, Florida, the
Company authorized the creation and issue of Secured Debentures
(therein and hereinafter called the "Debentures") subject to the
terms and conditions contained in the Principal Iridenture;
AND WHEREAS by First Supplemental Indenture made as of the
lst day of March, 1965 (hereinafter called "First Supplemental
Indenture") made between the parties hereto, and recorded in Book

' 1201, page 40, of the Official Records of Palm Beach County, Florida,

~ and in Book 156, page 24, of the Official Records of Martin County,
Florida, the Company authorized the modification and amendment of the _
~ . Principal Indenture to provide for the issuance~of Debentures totalling,
