5. ::ach of the Guarantors and the Additional Guarantors will. ~
record this Supplemental Indenture without deiay in every office where
the re;istration or recording thereof may in the opinion of counseZ ~
f~r the Trustee be oi material advantage in preserving and protecting
tl~e security created by the Guarantee as hereby amended and will
deliver ar exhibit_to the Trustee on demand evidence establishing
~ such :egistration and th~ same irom time to time renew.

reason of lack of capacity or ~o~ver or otherwise howsoever.
