THIS AMENDMENT I to the MBHORANDUM OF AGREBMENT made
as of thie llth day of December, 1974, betweea N. A. HARDIN
(hereinafter referred to as "MR. HARDIN"), and NARRISON
• LAND DBVELOPMBNT, INC., a Florida corporation (hereinafter
referred to as "HARRISON"). -

{~TAERBAS, on December 14, 1972, MR. RARDIN and
HARRISON did enter into a certain "MEMORANDUM OF AGRBEMENT
TASIS, A JOINT VENTUK~," (hereinarter sometimes reierred tc~ as
the "AGREEMENT" or the "AGREEMENT OF DECEMBBR 14, 1972) where-
in MR. HARDIN and HARRISON did agree to form a Joint Venture
to be known as "TASIS" with said Joint Venture to own certain ~

~ real_property described in an "Exhibit A" attached to .the

idHEREAS, the AGREEMBNT OF DECEMBER 14, 1972 was
recorded in the Public Records of St. Lucie County on Decem-
ber 15, 1972; Official Record Book No. 209, Pages 237, 238, and
239, and subsequently re-recorded in. Official Record Book 209,
Page 1950, of the Public Records of St. Lucie County, Florida;
and ,
WHEREAS, said AGREEMENT OF DECEMBER 14, 1972 did,
in error, include in its attached "Exhibit A," certain real -
property oWned by Universal Adams, Inc., a Florida corpora-
tion; and
