NOW, THEREFORE, in consideration of TEN ($10.00)
DOLLARS, and other good and valuable considerations,.the re-
ceipt whereof is hereby acknowledged, and of the mutual cove-

nants and promises contained herein, MR. HARDIN and HARRISON -
hereby agree as fQllows:
1. The MEMORANDUM OF AGREEMENT TASIS, A JOINT

VENTURE, dated December 12, 1972, listed on an attach~ed "Ex-
hibit A" the real property owned by TASIS. Said AGREEMENT
was recorded in the Public Records of St. Lucie County on
December 15, 1972, in Offic~al Record Book No. 209, Pages 237,-
238,•and 239, and aubsequently re-recorded in Official Record
'Book No. 209, Page 1950, of the Public Records of St. Lucie
County. MR. HARDIN and HARRISON mutually agree that a certain

! portion of the real property described on said "Exhibit A"

i was an error and that a certain portion of said real property
~ is, in fact, owned by Universal Adams,. Inc., a Florida cor-

2. MR. HARDIN and HARRISON mutually agree that
the real property described below, arid situated in St. Lucie
~ County, is owned by Universal Adams, Inc., a Florida corpora-
tion, and TASIS has no interest or oWnership of any kind what-
~ soever in the following-described property situated in St.
~ Lucie County, Florida:
