8. M. SUTTER certifies that he is pSSISTANT SECRETARY
of Shell Oil Caapany, a Delaware corporation; that the following is a canplete
and correct copy of a resolution duly adopted by the Company's Bo~rd of
Direetors on August 25, 1966, as amended through July 29, 1970, and now in
full effect:
RBSOLVED, That each of the Land Managers in the Company's
Exploration and Production Regions and in the Divisions of those
Regions, now or hereafter appointed, is hereby suthorized, either
as Land Manager or as Attorney-in-Fact, to execute, deliver,
accept, assign, amend, extend, terminate, release and surrender,
in the Company's name and behalf, the following described
instruments and documents in the usual course of the business of
the Campany's Exploration and Production Organization (of which
those Regions and Divisions are geographic subdivisions):
(1) agreements, options and other instruments for
acquisition or disposition (whether by purchase, sale
or exchange or otherwise) or conveyance of real or
personal property (including leasehold, royalty, and
other interests in oil, gas or other minerals);
(2) leases for oil, gas or other minerals, and
other leases of real or personal property (including
; surface leases), whether the Company is lessor or
