Bonds of the Thirty-first Series shall be transferablc ( subject to the
provisions of Section 12 af the Mortgage ) at the office or agency of the
Company in the Borough of Manhattan, The City of ~Iew York.
Upon any exchange or transfer of bonds of the Thirty-first Serie:, the
Company may make a charge therefor sufi'icient to reimburse it for any tax
or taxes or other governmental charge, as provided in Section 12 of the
Mortgage, but the Company hereby waives any right to make a charge in
addition thereto for any exchange or transfer of bonds of the Thirty-first
Series.

~ Waiver and Consent of Holders of Thirt~~-first and

~ . Subsequent Series to Amendment of Certain Pro~~isions
~ of the Mortgage
~ SErrtoN 3. The holders of bonds of the Thirty-first Series and of each
~ subsequently created series, by taking and recei~•ing the same, consent to any
~ modification or alteration of the Mortgage nec~essary• to amend the Murt-
~ gage, as supplemented, as set forth below, and agree that such bonds shali
not be entitled to vote, or to be regarded as Outstanding for the pur~wse of
~ any vote, upon any such modification or alteration, and the Company
~ reserves the right, without any funher consent or other action by holders of
~ such bonds, to amend the Mortgage, as supplemented, as set forth below, all
with the efi'ect that any such modification or alteration shall be efi'ecti~~e onl}•
,'3 when ( a) none of the bonds of any series originally issued prior to the
