HomeMy WebLinkAbout2051 ARTICI.E X ~ The Bylawe of the Aesociatioo sh+~ll be adopted by the Board of Oirectors aad may be altered, amended or resci~ded in the following sanner: Amendment~ to these Bylaws mey be proposed by the Board acting upon vote of the ma3ority of the Directors ar by rn~mbers of the Association having a ma~ority of the votee in the Assoeietion, whether meeting es members or by an inatrurt~ent i~ Mriting eigned by them. • ARTICT,E XI Amendments to these Articles of Ineorpor~tion shall be prepared ~ and edopted in the following manner: 11.1 Notice of the aubject matter of a proposed amendment shall be included in the notice of any meeting at which a proposed amendment is ta be considered. 11.2 A resolution for the adaption of a proposed amendment may be proposed either by the Board of Directors or by the members of the Associ- ation. Directors a~d members not present in person or by proxy at the meet- ing considering the amendment may exprese their appmval in writtina, provided such approval is delivered to the Secretary at or prior to the meeting. ; ~ ESccept as elsewhere provided: ~ (A) Such approvals must be by aot less than tao-thirds of ~ f ~ the entire memberehip af the Board of Directors and by not less than fifty- ~ one (5196) pprce~t of the votee of the entire mxmbership of the Aasociation; or x ~ z (B) 9y not less than tv~ro-thirds of the votcs of the e~tire r: ~ membership of the Associatian. ~ ~ ~ 11.3 provided~ however, that no amendment ahall make any changes ~ in the qualifications for membership nor the voting rights of the membera, ~ ~ nor any cha~ge in Seetion 3.3 of Article III, without approval in writing ~ ~ by aIl members and the 3ofnder of all record ownera of mortgages on the Y~ i~ Gondominium Units. No ar.iendmeot shall be made that is in conflict with the - Condominium Act or the Declaration ef Coadominiwn.
