THIS AGREEMENT Made April 1975, by and between
ORANGE AVENUE GROVES, INC., a corporation with place of business :

at Vero Beach, Florida, hereinafter referred to as "OWNER", as :

first party, and EGAN, FICKETT & COMPANY, a corporation with ~
place of business at Fort Pierce, Florida, hereinafter referred
to as "EGAN", as second party.

WHEREAS, Owner owns land in St. Lucie County, Florida, ~

The West 1/2 of NW 1/4 of Section 2 and the ~
NW 1/4 of Section 10, all being in Township
35 South, Range 38 East, less rights of way
for public roads and drainage car~als ~ ~
on which land there are mature citrus trees which require ~

expensive fertilizers and spray materials, and further present ~
problems believed to exist because of improper moisture control; ~

WHEREAS, Egan is engaged in the business of packing

and marketing citrus fruit and is desirous of packing and
marketing the citrus fruit being now produced and hereafter
~ to be produced by the said citrus groves; ~

i NOW, THEREFORE, in consideration of the sum of Ten ~

~ Dollars ($10.00) and other valuable considerations, each to

; the other in hand paid, and in the further consideration of
~ the respective covenants and agreements hereinafter set forth
to be kept and performed by each of the parties hereto, it is
agreed as follows :
~ 1. From and after this date and for the duration of this '

~ agreement, Egan will purchase and pay for for the account of
~ Owner and supply fertilizers and spray materials of the formulae
~
~ and quantities to be prescribed by Maybury Management Corp. and
~
~ Douthit Grove Care, Inc. Such fertilizers and spray materials
