as may be directed by Bill West. In addition, Egan will advance
for the account of Owner, sums not to exceed $20.000.00 over the
life of this agreement,-to be used on said citrus groves solely
in the improvement of the moisture control thereof (both irrigation
and drainage), such work to be performed under the advice and
direction of Bill West. .
2. Insofar as it is possible so to do, the fertilizer
and spray applications and the moisture control programs shall
be accomplished by equipment, operators and labor of Owner, but
if Owner is unable to timely supply such equipment, operators and
labor, the same will be supplied by Egan at actual cost, with it
being understood that the rental charge for equipment, with or
without operators, shall be in accordance with the schedule of
charges for like services or equipment as made by Maybury Manage-
ment Corp.

3. A charge shall be made by Egan to Owner equivalent
to 10¢ per harvested box of citrus fruit to partially reimburse
' Egan for its administrative costs related hereto. ~

4. Owner grants unto Egan the exclusive right to harvest,

` process and market the citrus crops produced by the groves which

~ are the subject of this agreement, beginning with ~the 1975-76
~ crop; and Egan covenants so to do and to use its best judgment
in so doing at a cost to Owner equivalent to or less than the
~ cost of similar services prevailing along "The Indian River"
and to promptly account to C3wner for all proceeds in the manner
~ following:
~ First: Egan shall deduct from proceeds all costs
~ ~or picking, hauling, packing, transporting and
~ marketing, including Egan's standard prevailing
charge for processing and marketing.
