with generally accepted accounting princ~ples and delivered in
duplicate, accompanied by the certificate of (i) a partner or
3oint venturer of the owner if the owner be a partnership or
~oint venture, or (ii) a principal financial or accounting offi-
cer of the Mortgagor if the owner be a corporation, dated within
five (5) days of the delivery of such statements, stating that he
knows of no default hereunder which has occurred and is con-
tinuing, or, if any such default has occurred and is continuing,
specifying the nature and period of existence thereof and what
action the Mortgagor has taken, or proposes to take, with re-
spect. thereto, and, except as otherwise specified, stating that
the Mortgagor has fulfilled all of its obligations under this
Mortgage which are required to be fulfilled on or prior to the
date of such certificate.
Article 15. Leases
The Mortgagor will not (i) execute an assign-
ment of the rents or any.part thereof from the Premises, or (ii)
terminate or consent to the cancellation or surrender of any lease
of the Premises or of any part thereof, now existing or here-
after to be made, having an unexpired term of three (3) years !
or more, except that any lease affecting less than three thou-
sand square feet (3,000 s.f.) of building area may be can-
celled provided that promptly after the cancellation or surrender
thereof, a new lease is entered into with a new lessee having a
credit standing, in the sole judgment of the I~rtgagee, at least
equivalent to that of the lessee whose lease was cancelled and
being on at leasC substantially the same terms as the terminated
or cancelled lease, or (iii) modify or amend any lease,~or (iv)
accept prepayments of any installments of rents to become due
under any lease for a period of more than one (1).month in
~ advance, except prepayment in the nature of security for the
; performance of the obligation of the lessee thereunder, or (v)
~ in any other manner impair the value of the Premises or the
~ security of this Mortgage.

~ The Mortgagor will not execute any lease of all,
or a substantial portion of the Premises, except for actual
occupancy by the lessee thereunder, and will, at all times,
promptly and faithfully perform, or cause to be performed, all
of the covenants, conditions and agreements contained in all
~ leases of the Premises now, or hereafter, existing, on the part
~ of the lessor thereunder to be kept and performed. If any ch
~ leases provide for the giving by the less ~ of a certif' te
with respect to the status of such lease, th r agor shall
~ exercise its right to require such certificate within five (5)
days of any demand therefor by the Mortgagee.

~ The Mortgagor shall furnish to the Mortgagee,
~ within thirty (30) days after a request by the Mortgagee to do
~ so, a written statement containing the names 6f all lessees of ,
