3O`~~~ TIiIS AGREEMENT made the ~day of April, 1975, by and between
GRAY DRUG STORES, INC., an Ohio corporation, having an office located
~~at 666 Euclid Avenue, Cleveland, Ohia 44114 (hereinafter referred to

I as "Tenant"), and LITHO FUND EQUITIES, INC., a New York corporation,
~;having an office c/o Robinson, Silverman, Pearce, Aronsohn, Sand ~ Berman,
230 Park Avenue, New York, New York (hereinafter referred to as the "Fund"). I

;t WHEREAS, Tenant did heretofore enter into a written Agreement of I

~ Lease dated August 1, 1973, (hereinafter referred to as the "Lease"), ~

said Lease having been amended in certain respects by First Amendment to Lease
~,dated April 17, 1474 and First Supplement to Lease dated February 20, 1975,
;;with ST. LUCIE PLAZA, a joint venture of Melvin F. Sembler, Fred A. Beshara, '

` individually and as trustee, Albert L. Dangler and Nicholas Manos (hereinafter
;referred to as "St. Lucie"), leasing certain premises in the City of

t L'~ }Port St. Lucie, County of St. Lucie, State of Florida commonly known by

~ street address as 7957 South U.S. Highway #l, Port St. Lucie, Florida 33452

~ ;and more particularly described in the Lease; and

~ WHEREAS, the Fund has agreed to purc~ase a certain mortgage deed

~`t~ (hereinafter referred to as the "Mortgage Deed") dated April 12, 1974 held

\ ~;by First Federal Savings and Loan Association of Largo, Florida, and ~

Circuit Court of St. Lucie County, and to enter into an agreement modifying

`t WHEREAS, the Fund requires as a condition to the purchase of the

~ ally subordinate to the Mortgage Deed, as modified; and
