and bet~reen FEISNER BROTHER9, IRC., a Nev York Corporation, having an office
located at 49 East Avenue, Rochester, Nev York 14604 (hereinafter referrtd
to as "Tenant"), and LITHO FVND EQUITIES, IHC., a Net+ York Corporation, ha~ving
an office c/o Robinson, Silverman, Pearce, Snnd & Berman, 230 Park Avenue,
Nev York, New York (hereinafter referred to as the "fl~nd").
W I T A E S S E T H:
WHEREAS, Tenant did heretofore enter into a~rritten Agreement of
Lease dated August 29, 19T3 (hereinafter rePerred to as the "I?ease") said
I.ease having been amended in certain repsects by a aodit'ying Agre~ent dated
March 14, 1974, with ST. LUCIE PLAZA, a Joint Venture of Idelvin F. Sembler,
Fred A. Beshara, individually and as Trustee, Albert L. Dangler and Nicholas
Manos (hereinafter referred to as "St. Lucie"), leasing certain premises in
the City of Port St. Lucie, County of St. Lucie, State of Florida; and
WHEREA.S, the Fund has agreed to purchase a certain mortgage deed
(hereinafter referred to as the "t~iortgage Deed") dated April 12, 1974 held by
First Federal Savings and Loan Association of Largo, Florida, and recorded in
i Book 226, Page 328, in the official records of the Clerk of the Circuit Court

~ > of St. Lucie County, and to enter into an agreement modifying said Mortgage; ~

~ fi gage as modified, to secure the payment of the sum of One Million

Q J Three Hundred Thousand Dollara ($1,300,000.00), plus interest; and
WHEREA.S, the Fund requires as a condition to the purchase oP the

Mortgage Deed and modification thereof, that the Lease shall be unconditionally

` ,`v subordinate to the Nbrtgage Deed, as modified; and
