WHEREAS, Tenant did heretofore enter ?nto a written
Agreement of Lease dated October 12, 1973, said lease
having been amended in certain respects by First Amendment
to Lease dated April 24, 1974, and by Second Amendment to

Lease daCed February 6, 1975, with ST. LUCIE PLAZA, a joint
venture of Melvin F. Sembler, Fred A. Beshara, individually

and as trustee, Albert L. Dangler and Nicholas Manos (here-

f inafter referred to as "St. Lucie"), leasing certain prem-

; ises in the City of Port St. Lucie, County of St. Lucie, .
