and correct copy of a resolution duly adopted by the Company's Bo~rd of
Directors on August 25, 1966, as amended through July 29, 1970, and now in
full effect:
RBSOLVED, That each of the Land Managers in the Campany's
Bxploration and Production Regions and in the Divisions of those
Regions, now or hereafter appointed, is hereby suthorized, either
as Land Manager or as Attorney-in-Fact, to execute, deliver,
accept, assign, amend, extend, terminate, release and surrender,
in the Campany's name and behalf, the following described ~
instruments and documents in the usual course of the business of
the Company's $xploration and Production Organization (of ~hich
those Regions and Divisions are geographic subdivisions):
(1) agreements, options and other instr~mments for '
acquisition or disposition (whether by purchase, sale s
or exchange or otherwise) or conveyance of real or `
personal property (including leasehold, royalty, and '
other interests in oil, gas or other minerals); i
(2) leases for oil, gas or other minerals, and
other leases of real or personal property (including
-~surface leases), whether the Campany is lessor or
lessee; and subleases under such leases; ~

(3) easements, permits and licenses, whether the ~

; Company is grantor or grantee; ?
~ (4) agreements, powers and declarations relating to
~ pooling or unitization of leasehold, royalty or other
interests in oil, gas or other minerals, or relating to
dissolution of pooled or unitized units (including such
instruments by the Company both as principal and as
~ agent for-others, with full poWer of substitution);
~ (5) agreements relating to overriding royalties and
~ production payments;
~ (6) acreage or money contribution, farmout, and joint `
~ operating agreements;
~ (7) division orders and transfer orders; ~

other secondary recovery operations;
