THIS CANCELLATION OF AGREEMENT NOT TO ENCUMBER executed the
date below referenced, by and between JEROME J. RUTHER, BASIL C.~ ELIAS
and W. JASON MITAN, Individually, and as all surviving Board of
Trustees of HOLLYWOOD DEVELOPMENT COMPANY, a dissolved Florida cor-
poration, and as all general partners of HOLLYWOOD DEVELOPMENT GOMPANY,

a Florida general partnership, hereafter referred to as FIRST PARTY;
and NORTH TRAIL GOLF CLUB, INC., a Florida corporation, SECOND PARTY;

For value received, the first party does hereby grant,

transfer, convey and cancel all right, title and interest in and to ~
