D. All pa.rties agree that up~n closing of the transactions and
a Warranty Deed recorded his present lease shall be absolutely
terminated and that all rights and covenants existinq in sa.id lease shall
be released, relinquished and waived by the parties.
1. The Venture Cut Mobile Homeo~mer's Association has
formed a nan-profit corporation hereinafter ~own as Venture Harbour,
Inc . There are 36 shares availa.ble for the purchasers of the 36 lots--
one share for each lot . Cne share will be issued with each lot
purchased from Venture Cut in America., Inc,
~ Each lot purchaser must receive approval from the efficers
of Venture Harbour, Inc. Such approval is not to be withheld
. unreasonably. The -present 27 grospective Land Cwners and mobile
homeowners, as the date of this agreement now have such approval.
2. Venture Harb~ur, Inc, shall ha.ve equal rights with
Venture Cut at Sa.int Lucie, Inc., Venture Cut at Indian River, Inc.,
to manage any cammon properties that shall be sold, conveyed or trans-
~ ferred to either Venture Gut at Saint Lucie, Inc. , or Venture Gut at
f Indian River, Inc. , and shall have one-third representation on any

€ management cammittee or board.

~ 3. Venture Cut in America, Inc. , shall ~eed the individual
~ purcha.ser his proportionate share of Wahoo Street, Snook Street, water i

lines, sewage lines and any other equipment that is solely for the use

~ of the mobile home park.
