and W. JASON MITAN, Individually, and as all survivinq Board of

poration, and as all general partners of HOLLYWOOD DEVELOPMENT QOMPANY,
a Florida general partnership, hereafter referred to as FIRST PAR2Y;
and NORTB 2RAIL GOLF CLUB, INC., a Florida corporation, SECOND PARTY=

For value received, the first party does hereby grant,
transfer, convey and cancel all right, title and interest in and to'
that certain Agreement~Not To Encumber referred to by reference in
that certain copy of Aqreement Not To Encumber recorded in the public
