hereby grants to GECC a right of first refusal to purchase said
property upon the same terms and conditions as stated in the
contract for sale. For purposes of this Agreement, a bona fide
offer shall be a contract in writing fcr the subject property sub- ;

mitted by a purchaser who is not connected witi~ GOLF in any manner ~
whatsoever, the intent being that the offer of a purchase is an
"arms-length" offer, and is not an offer created for the purpose ~
of forcing a sale, and said contract is to be accompanied ~y a
deposit evidenced by Cash, Cashier's Check or Certified Check in
an amount equal to at least 5$ of the purchase price, all of which
shaii i~e submizted z~ ~~~C a~ their offices hereinafter described.
GOLF shall notify GECC of said offer in writing, by Certified Mail,
Return Receipt Requested, and forward a copy of the contract and

said evidence of deposit together with an Affidavit from GOLF, ;
which Affidavit shall state that the offer is bona fide and exist-

ing; then GECC shall have 30 days from receipt thereof within which =
to purchase the subject property under the same terms and conditions

as set forth in the bona fide contract, and GECC shall exercise
its option to purchase by submitting to GOLF within said 30-day ~
period, in writing, accompanied by its funds as herein described ~

` to GOLF at its address hereinatter set forth. Upon receipt of ~

GECC's contract for purchase, GOLF shall have five days from the

receipt of said contract to accept same for purchase from GECC,
~

~ and return an executed copy of the contract to GECC. If GOLF

~ does not accept the GECC contract, then the bona fide offer and

~

E the GECC contract shall be of no force and effect.

: Notwithstanding anyting to the contrary, GECC may re- '

€ fuse at its sole option to exercise its right of first refusal,

or in the event GECC does not advise GOLF within 30 days of said

; purchase agreement receipt, then GOLF is released from the condi- ~
4 tions and covenants in this paragraph and may proceed to contract ~
