Upon any e~cchange or transfer of bonds of the Thirty-second Series,
the C;ompany may make a charge therefor sutlicient to reimburse it
_ for any tax or taxes or other governmental charge, as prnvided in
Section 12 of the Mortgage, but the Company hereby waives any right
to make a charge in addition thereto for any exchange or transfer
of bonds of the Thirty-second Series.
ARTICLE II
Dividend Covenant
SECTION 2. Section 3 of the Third Supplemental Indenture, as hene-
tofore amended, is hereby further amended by inserting the words
~ "or Thirty-second Series" immediately before the words "remain Out-
j standing".

Miscellaneous Provisions
~ SECTION 3. Subject to the amendments provided for in this Thirty-
~ first Supplemental Indenture, the terms defined in the Mortgage, as
~ heretofore supplemented, shall, for all purposes of this Thirty-first
Supplemental Indenture, have the meanings specified in the Mortgage,
~ as heretofore supplemented.
SECTION 4. The Trustees hereby accept the trust herein declared,
provided, created or supplemented and agree to perform the same upon
the terms and conditions herein and in the Mortgage, as heretofore sup- -
~ plemented, set forth and upon the following terms and conditions:

The Trustees shall not be responsible in any manner whatsoever for
~ or in respect of the validity or sufficiency of this Thirty-first Supple-
~ mental Indenture or for or in respect of the recitals contained herein,
~ all of which recitals are made by the Company solely. In general, each
~
~5 and every term and condition contained in Article XVII of the Mor~
~ gage, as heretofore amended, shall apply to and form part of this Thirty-
