HomeMy WebLinkAbout1505 SECTION IX: That the Issuer reserves the right and option to call in for payment e ore maturity aRy or all of the said bonds of said bond issue at ar~y semi-annual interest paying and/or compuunding date. Should the Issuer intend to exercise such option so reserved, it shall give at least thirty (30) days prior written notice thereof to the holders of all of the bonds of this bond issue so called, deliver a copy of each of said notices to the Pa~ying Agent for said bond issue, and immediately deposit into the Sinking Fund Account herein provided for a sum sufficie~t to pay the principal amount of and the accrued interest o~ all of said bonds so called. That, in the event any of the bonds of this bond issue are so called for payment before maturity and the address of aRy of the holders thereof shall be unknown, notice of the said call for payn~ent before maturity shall be published one time, at least thirty (30) days prior to the date of redemption in some neNSpaper of general circulation iq the County of St. Lucie, Florida, and a copy of such publication together with an affidavit as to the date on which the same was published shall be delivered to the Paying Agent for said bond issue. Said bond or bonds so called for payme~t before maturity ~hall cease to yield interest from and after the semi-annual interest pa?ying and/or compounding date on which the same are called. SECTION X: That the Issuer hereby reserves and retains the right to authorize by subsequent resolution or resolutions, the issuance of additional bonds for the purposes set forth in SECTION VIII (4) hereof, provided that such additional bonds are secured in the same manner and to the same extent as the bonds issued hereunder; and provided that the total outstanding bond indebtedness shall not exceed 66 2/3~ of the de- preciated repiacement value of the property of the Issuer. SECTION XI: That in the event any of the bonds issued hereunder are lost, stolen or destroyed, duplicate bonds for such original bond~or bonds may be issued upon sworn affidavit of the owner or owners of the bonds, such affidavit identifying the bond or bonds and stating the circwnstances under which the bond or bonds were lost, stolen or destroyed. Such affidavit shall also contain an agreement indemnifying the Issuer and the Paying Agent against all.losses by reason of the issuance of such duplicate bonds. Each duplicate bon~ shall identify the original bond Nhich it replaces and shall be signed by the same officers of the Issuer who signed the original bond or their successors in office. The Paying Agent for this bond issue shall be notified of the issuance of each duplicate bond, and such notice shall identify the original bond for which the duplicate bond is issued and shall instruct and direct said Paying Agent to refuse payment on the original bond if it shall thereafter be presented for payment. In the event that the Paying Agent makes payaient on any such original bond, the Issuer agrees to indemnify the Paying Agent against any loss sustained thereby.
