2. That neither Murphy nor Wi t will offer for sale
any of their respective ownership of said 60,000 shares of common
stock of Landmark Financial Corporation without first offering ~
to sale their respective shares to the other joint venture holder
at the same price offered to the one designed to sale by some
third party. .
3. That the original of said stock certificate number
70 of Landmark Financial Corporation shall be held in the office
safe of the Law Offices of Charles R. P. Brown, 301 South Sixth
Street, Fort Pierce, Florida until such time as demand is made upon
said Charles R. P. Brown for delivery thereof to the joint
venturors.
