NOW, THEREFORE, it is mutually aqreed as follJws: ,
l. Supersedes All Prior Agreements.
That this instrument shaZl be deemed as~of the
lst day of January , 1975 to have superseded and replaced
. all prior partnership agreements of the KIMCO UNIVERSITY
CCIMPANY and that this instrument shall hereafter set forth
in full~the entire limited partnership aqreement amonq the
parties hereto so that reference, except for historical _
purposes, to any~p=ior aqreement, need r?ot be required.
~ 2. Name, Officers, Def inition of Limited Partners.
The name of the partnership shall be

(the "Partnership").
~ The principal office of the Partnership shall
be care of The Kunco Corporation, P. O..Box C, 1044 Northern
- Boulevard, Roslyn, New York, or such other location as the
- General Partner may from time to time select, provided that
- no such change of location sha11 be made without qiving at
least five (5) days' prior notice thereof to the Limited
Paztners.
The word °Partner" or "Partners" as used in
these Articles without gualification by the words "General•'
or "Lia?ited" shall mean both General and Limited Partners
and there shall be no distinction between "Original Limited
Partners" and "Additional Limited Partners" and the words
"Limited Partners" shall-include both. • .
3. Partnershin Business.
The purpose of the Partnership is to own, mana5e
an3 operate the shopping center, which occupies the praperty
~ more particularly described on Schedule "A", (the "Property").
