In arriving at the price for the second categor~ o[ truit described above. that is the late season inuk the same method shall be
used, e:cept that it shall be based upon chilled jwce aold by the Buyer betvreen April 1 and November 30.
The amount due for the two categories ahall be the 6aa1 prioe for all oransea received by the Buyer from the Grower for the
season. Promp!ly after a determination of such 6nal price, the p~rlies ahall, by payment, seltle the amounts due between them by
Januery 15. Thia agreement vril[ be binding upon the Buyer only after it has been signed by one of the Buyers oRioe~s.
Any determination as to classi6cation, or quantity of fniit received, or na to gallonage and/orpo
unda of solids ahall be as re-
~orted by daily testa made by Florida State Inapectors, atationed at the premises of the Buyer. The Buyer is reaponsible tor all juice
from the Grow~er'a iruit as reported by said inapectors and Buyer will not deduct for apoilage, brnakage, or any other loes of juioe ce-
curring atter the frnit has been received and accepted by Buyer.
The Buyer witl submit to the Grower a 6gure determined by Buyer to be the per pound o[ solida price tor the seasoa and the num-
ber of pounda o[ solids received [rom the Grower aa reported by U.3.D.A. daily report The figures aubmitted by Buyer will be certified
co by a C.P.A. firm.
The within Agreement is to continue uatil orn ot the perlies gives to the other notice by registered or certified mail o[ its intention
not to coatinue for the ne:t seasoa atarting October 1. For such notice to be eHective. it must be sent not later than June 30. Grower
may not validiy send any such notice while Grower is indebted to Buyer. I[ after the Snal determination of amounta due betw~een the
parties it shaU develop that one of the pnrties hereto is indebted to the other. the foregoins notice of termination. if aeat by the
debtor, ahall not be eHective until eaid debtor shall make full payment to the creditor. The arowina season ahall be the period from
October 1 through duly 15 of each year.
Gmv?~er warrants good title to the grovea described in thia Asreement and to the fruit produced in said srovea. with lawful ti~t
to enter into this A~reement and Grower warrants that the fruit will be (ree of any and all liens and claims. 'I7~e individnals sign?ng
