In arriving at the price for the second category of fruit described above, that ia the late aeason fruik the same method shall be
used, e:cept thnt it shall be based upon chilled juice sold by the Buyer between April 1 and November 30._
The amount due for the twq categories shnll be the 8na1 price for all oranges received by the Buyer tram lhe Gmwer for the "
season. Promptly nfter A determination ot such final price. the part~es shall, by payment, settle the amounts due between them by
January 15. This agreement wil) be binding upon the Buyer only atter it has been signed by one ot the Buyei
s ot6cera.
An determination as to classi6cation, or quantity of (ruit received, or as to gallonage and/or pounds of aolids shall be as te-
ported ~y daily tests mAde by Florida State Inspectora, stationed at the premises ot the Buyer. The Buyer is responsible for all juice
trom the Grower'a [ruit as reported by said inspectois and Buyer will not deduct for s~wil~ge, breakage, or any other losa oE juice oc-
curring after the (ruit has been received and accepted by Buyer.
The Buyer will submit to the Grower a 6gure determined 6y Buyer to be the per pound o[ solids price for the season and the n~tm•
ber of pounds of solids received from the Grower as reporled by U.S.D.A. daily report. The @gures submitted by Buyer will be certi6ed
to by a C.P.A. 6rm.
The within Agreement is to continue until one of the parliea gives to the other notice by registered or cerli6ed mail of its iatention
not to continue for the ne:t aeason starting October 1. For such notice to be eFfective, it must be sent not later than June 30. Gmwer
may not validly send any such notice while Grower is indebted to Buyer. I[ Atter the final determinaiion of amounts due between the
parties il shali develop that one of the parties hereto is indebted to the other, the foregoing notice of terminalion, if aent by the
debtor, shall not be eHective until said debtor shall make full payment to the creditor. The growing season shall be the period trom
October 1 through July 15 of each year. -
Grower watrants good tide to the groves described in this Agreement and to the truit produced in said groves, with lawful right
to enter into this Agreement and Grower warrants that the ftuit wiU be tree o[ any and a!I liens and claims. The individuaia signing
this Agreement on behalf of the Grower represent that they have authority to do so.
