by MARINE SCIENCE CENTER, INC. ("Marine"), a corporation
existing under the laws of Florida, having its principal
place of business at the Marine Science Center, Fort Pierce,

W I T N E S S E T H
WHEREAS, by Mortgaqe Deed, dated December 20, 1972,
The Harbor Branch Foundation ("Harbor") established by Trust '
Agreement, dated December 31, 1963, granted Marine a mortgage
t on all that certain land situate in St. Lucie County, F1Qrida

as more particularly described in said Mortgaqe Deed (the
E "Property") to secure a Promissory Note, dated December 20,
1972, made by Harbor to Marine; said mortgage recorded in Official
Record Book 209, Page 608, Public Records of St. Lucie County, Florid
WHEREAS, by Quitclaim Deed of even date herewith,
; Harbor granted the Property to Harbor Branch Foundation, Inc.

~ WHEREAS, by Assumption made as of the 12th day of
December , 1974 (the "Date"), Harbor Branch Foundation, Inc.

~ without limitation, the payment of the Promissory Note, dated

E December 20, 1972, made by Harbor to Marine.

; WHEREAS, Harbor desires to be released from all of

~ its liabilities and obligations under the Promissory Note and
