- WHER~AS, by Mortgage Deed, dated December 20, 1972,
and recorded in the Public Records of St. Lucie County, Florida,
on December 21, 1972, in O.R. Book 209, Page 608, The Harbor
Branch Foundation ("Harbor"),established by Trust Agreement,~
dated December 31, 1963, granted Marine Science Center, Inc.
("Marine"), a Florida Corporation, a mortgage in the original
principal amount of $235,000 covering all that certain land
~ ~ situate in St. Lucie County, Florida, as more particularly

described in said Mortgage Deed (the "Property") to secure a

Promissory Note, dated December 20, 1972, made by Harbor to
