~ bonds described and mentioned hereinabove, including General.'s

' and/or Safeco's costs, expenses and reasonable attornays' fees

! incurred and/or expended in connection herewith; and any such

; sums advanced hereunder or paid by reason of the execution of

~ such bonds shall bear interest at the rate of 8~ per annum from

the date of such advancement or payment, until repaid to General
i
. i and/or Safeco.

; (d} Any and all sums received by General and/or Safeco
~
, from or on behalf of the Obligees in the bonds above mentioned
(
~ and described, and any and all sums realized from the sale,
~ foreclosure or liquidation of securities given hereunder, and f
~ any and all swas which may be voluntarily paid by or on behalf
' of Indemnitors to General and/or Safeco, shall be applied by
;
' General and/or Safeco,

(1) to any interest due hereunder,
i:
i' (2) to repayment of the advancements made by General
and/or Safeco hereunder,
`i
(3) To repayment of any other swns which General and/or
i! Safeco may be required or become obligated to pay by rea-
son of having executed as surety any or a11 of the bonds
~ hereinabove described and mentioned,
~ (4) to repay any and all of General's and/or Safeco's
F costs, and expenses incurred in connection therewith, and
~
~ 3~ (5) any balance remaining after the payment of items (1),
~ ' (2), (3) and (4) shall be remitted to Indemnitors.

All parties hereto agree to execute and deliver any and all

- !-docwnents which may be necessary to effectuate this Agreement, in

;:form and substance approved by General and/or Safeco.

No delay, omission or failure by General and/or Safeco to
~ exercise any right or power accruing to it in respect to the terms
~ ;`~of this Agreement shall impair any such right or power, or be
~ ;
~ :~construed to be a waiver thereof, and every such right or p wer

~ ~'may be exercised at any time and from time to time by Genera
i~~;and/or Safeco. Failure by General and/or Safeco to exercise
~
~'remedies herein provided or any thereof, shall not preclude re-
